Acceptance of Terms

These Terms and Conditions ("Terms") govern the relationship between Silpi Advertising ("Company," "we," "our," or "us") and any individual, business, or entity ("Client," "you," or "your") that engages our services, visits our website at silpiadvertising.in, or enters into any booking, service, or advertising agreement with us.

By submitting an enquiry, signing a booking order, making a payment, or using our website, you confirm that you have read, understood, and agree to be bound by these Terms. These Terms form part of every contract between Silpi Advertising and its clients unless expressly varied in writing by an authorised representative of the Company.

IMPORTANT NOTICE If you are engaging our services on behalf of a company or organisation, you represent and warrant that you have the authority to bind that entity to these Terms. By accepting these Terms, you accept them both in your personal capacity and on behalf of your organisation.

Our Services

Silpi Advertising provides a comprehensive range of outdoor and media advertising services across Kerala. Our service portfolio includes, but is not limited to:

  • Hoarding & Billboard Advertising: Strategic placement and display of large-format outdoor advertisements on owned and leased hoarding structures across 6+ districts of Kerala.
  • Backlit & Illuminated Panels: Backlit signage and illuminated display panels at high-visibility locations for round-the-clock visibility.
  • Signage Solutions: Design, fabrication, and installation of commercial signage including shop fascias, directional signage, and branding elements.
  • Video Walls & Digital Displays: LED video walls and digital outdoor display solutions for high-impact brand messaging.
  • Large-Format Printing (Megaprint): Premium printing of flex banners, vinyl wraps, canvas, and other large-format advertising materials.
  • Campaign Management: End-to-end management of outdoor advertising campaigns including location planning, creative production, installation, and monitoring.
  • Advertising Space Rental: Rental of owned advertising structures for a defined period and agreed display specifications.

Services are subject to availability, location-specific regulations, and the terms agreed upon in the individual booking order or service agreement. Silpi Advertising reserves the right to modify, expand, or discontinue any service at any time.

Bookings & Service Agreements

All service engagements are initiated through a formal booking process. The following applies to all bookings:

  • A booking is confirmed only upon receipt of a signed Booking Order / Work Order and the applicable advance payment as specified in the quotation.
  • Quotations issued by Silpi Advertising are valid for 15 days from the date of issue unless otherwise stated. Prices and space availability are subject to change after this period.
  • For hoarding and space-rental bookings, the specific location, dimensions, display period, and rate are documented in the booking order. Verbal commitments do not constitute a binding agreement.
  • Silpi Advertising reserves the right to decline or cancel any booking at its sole discretion, particularly where the requested content conflicts with our Prohibited Content policy (Section 8) or applicable law.
  • Bookings are non-transferable. A booking confirmed for one client or campaign cannot be transferred to another party without prior written consent from Silpi Advertising.
  • We reserve the right to substitute an advertising location of comparable visibility and reach if the originally booked location becomes unavailable due to reasons beyond our control, with prior notice to the client.

Creative Content & Artwork Submission

The following specifications and obligations apply to all creative materials submitted by clients for display:

  • Artwork must be submitted in the formats and at the resolutions specified in the booking order or our creative guidelines document. We accept high-resolution PDF, AI, PSD, and EPS files.
  • Artwork must be submitted at least 5 working days before the scheduled installation date to allow for production and quality checks. Delays in artwork submission will not extend the agreed display period.
  • Silpi Advertising will conduct a content review of all submitted artwork to ensure compliance with these Terms, applicable law, and display standards. We reserve the right to reject artwork that does not meet our standards.
  • Any revisions to approved artwork during an active campaign will incur additional production charges and require re-approval.
  • The client is solely responsible for ensuring the accuracy of all text, claims, and visuals in their artwork. Silpi Advertising is not liable for errors, misprints, or factual inaccuracies in client-supplied materials.
  • Colour accuracy on printed materials may vary slightly from digital previews due to the nature of large-format printing processes. Silpi Advertising will not be held liable for reasonable colour variation.

Payment Terms

All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless specifically stated otherwise. The following payment terms apply:

  • Payments are accepted by bank transfer (NEFT/RTGS/IMPS/UPI) or cheque. Cash payments are accepted up to limits prescribed under the Income Tax Act, 1961.
  • GST at applicable rates will be charged in addition to the base service cost and will be reflected in the tax invoice.
  • Invoices are due on the date of issue. Overdue balances attract an interest charge of 1.5% per month from the due date until payment is received in full.
  • Silpi Advertising reserves the right to suspend or withhold services — including removing a display — if payment obligations are not met on time.
  • Any disputes regarding an invoice must be raised in writing within 7 days of the invoice date. Disputes raised after this period will not be entertained.

Display, Installation & Maintenance

Silpi Advertising will ensure professional installation and maintenance of all display materials during the agreed campaign period. The following conditions apply:

  • The display period commences from the date of installation and ends on the date specified in the booking order, regardless of any delays caused by late artwork submission from the client.
  • Silpi Advertising will make reasonable efforts to maintain the appearance and visibility of displayed advertisements throughout the campaign period. In the event of material damage to printed displays (such as flex banners) due to normal weathering over extended campaigns, replacement will be at the client's cost.
  • The client may not visit, access, or tamper with any hoarding structure, display panel, or installation site at any time without prior written authorisation from Silpi Advertising.
  • Silpi Advertising reserves the right to temporarily suspend a display for maintenance, structural repairs, or safety requirements. The display period will be extended by the number of days the display was suspended, at no additional charge.
  • Upon expiry of the campaign period, Silpi Advertising will remove the display material within a reasonable timeframe. The client is responsible for collecting their original artwork files; Silpi Advertising is not obligated to retain physical printed materials beyond 7 days after campaign end.

Permits, Licences & Regulatory Compliance

Outdoor advertising in Kerala is subject to regulations issued by local bodies including municipal corporations, gram panchayats, Kerala Road Safety Authority, and the National Highways Authority of India (NHAI) for highway-adjacent sites.

  • For hoarding structures owned by Silpi Advertising, we are responsible for maintaining valid display licences and structural compliance certificates from the relevant local authority.
  • For client-owned signage or installations that we fabricate and install, the responsibility for obtaining necessary trade licences, building permissions, or display approvals rests with the client, unless expressly agreed otherwise in writing.
  • If a competent authority directs the removal of a display for regulatory reasons during the campaign period, Silpi Advertising will promptly comply and cannot be held liable for any financial loss to the client arising from such removal.
  • The client warrants that all claims, endorsements, product descriptions, and promotional content in their advertisements comply with the Consumer Protection Act, 2019, the Advertising Standards Council of India (ASCI) Code, and all other applicable laws.
  • Silpi Advertising shall not be held responsible for any penalties, losses, or legal action arising from non-compliant content provided by the client.

Prohibited Content

Silpi Advertising reserves the right to refuse, suspend, or remove any advertisement that contains or promotes the following:

  • Content that is obscene, pornographic, offensive, or harmful to public morality under the Indecent Representation of Women (Prohibition) Act, 1986, or any other applicable law.
  • Content that promotes or glorifies violence, terrorism, communal hatred, or discrimination based on religion, caste, gender, or ethnicity.
  • Political party campaign advertisements or election propaganda during model code of conduct periods, as directed by the Election Commission of India.
  • Advertisements for products or services that are banned, restricted, or require special licensing (e.g., tobacco products, alcohol in restricted zones, unauthorised financial schemes).
  • False, misleading, or unsubstantiated claims about products, services, competitors, or individuals.
  • Content that infringes upon the intellectual property, trademarks, copyrights, or privacy rights of any third party.
  • Advertisements that violate the Cable Television Networks (Regulation) Act or Broadcasting Content Complaints Council guidelines by extension of principle.

Any advance payment made for a booking that is subsequently refused or cancelled due to prohibited content will be forfeited. No refund will be issued where Silpi Advertising exercises its right under this clause.

Cancellation & Refund Policy

The following cancellation terms apply to all confirmed bookings. All cancellation requests must be made in writing (email to info@silpiadvertising.in is acceptable).

  • For large-format printing orders, cancellation after production has commenced will attract a charge of 100% of the production cost, regardless of the notice period.
  • Refunds, where applicable, will be processed within 14 working days of the cancellation being confirmed in writing, via the original payment method.
  • Cancellations initiated by Silpi Advertising (other than under Clause 8 – Prohibited Content) will result in a full refund of all amounts paid.

Force Majeure

Silpi Advertising shall not be held liable for any failure or delay in performing its obligations under any booking or service agreement if such failure or delay is caused by circumstances beyond our reasonable control. Force majeure events include, but are not limited to:

  • Severe weather events including cyclones, floods, landslides, or lightning strikes that damage or destroy hoarding structures.
  • Acts of God, natural disasters, or pandemics declared by a competent government authority.
  • Orders, directives, or restrictions issued by any government, municipal authority, or court of law.
  • Civil disturbances, bandh, hartal, strikes, or public unrest affecting access to display sites or production facilities.
  • Vandalism, accidents, or third-party damage to display structures beyond Silpi Advertising's control.
  • Power failures, supply chain disruptions, or infrastructure outages affecting production or display operations.

In the event of a force majeure occurrence, Silpi Advertising will notify the client as soon as reasonably practicable and will make best-effort arrangements to resume services or offer an alternative display period at no additional charge. Where resumption is not possible, a pro-rata refund of the unused campaign period will be offered.

Limitation of Liability

To the fullest extent permitted by applicable law, the liability of Silpi Advertising to any client for any claim arising from or related to our services shall be limited as follows:

  • Our total aggregate liability to any client for all claims shall not exceed the amount paid by that client to Silpi Advertising under the specific booking or agreement giving rise to the claim.
  • Silpi Advertising shall not be liable for indirect, consequential, incidental, or special damages, including but not limited to loss of profit, loss of revenue, loss of business opportunities, or reputational harm arising from any advertising campaign or service failure.
  • Silpi Advertising does not guarantee any specific outcome, return on investment, audience reach, or commercial result from any advertising placement. Visibility and reach are estimates based on available data and may vary.
  • Silpi Advertising is not liable for any third-party claims against the client arising from the content of their advertisement, including claims of defamation, trademark infringement, or misleading advertising.
  • Our liability for damage or loss of client-supplied physical materials is limited to the cost of reprinting the materials at standard production rates.

Intellectual Property

The following intellectual property provisions govern the use of creative materials in relation to our services:

  • Client-Owned Content: All artwork, logos, brand materials, slogans, and creative assets submitted by the client remain the intellectual property of the client or their respective rights holders. By submitting materials, the client grants Silpi Advertising a non-exclusive, royalty-free licence to reproduce, print, and display those materials solely for the purpose of fulfilling the booked services.
  • Silpi Advertising Portfolio Use: Unless the client objects in writing at the time of booking, Silpi Advertising reserves the right to photograph completed installations and use such photographs for our portfolio, website, social media, and promotional materials. Client brand names or campaign details will be attributed accurately.
  • Silpi Advertising's Own Content: All content on our website (silpiadvertising.in), including design, photography, copy, and branding materials, is the exclusive property of Silpi Advertising or its licensors. No part may be reproduced without prior written permission.
  • Third-Party Rights: The client warrants that all submitted materials do not infringe upon the copyright, trademark, or other intellectual property rights of any third party. The client shall indemnify Silpi Advertising against all claims, losses, and expenses arising from any such infringement.

Termination

Either party may terminate a service agreement or booking under the following circumstances:

  • Silpi Advertising may immediately terminate a booking and remove a display without refund if the client is found to have provided false information in the booking process, submitted prohibited content, or breached any material term of these Terms.
  • The client may terminate an agreement by providing written notice as per the cancellation policy in Section 9. Early termination charges apply.
  • Either party may terminate an agreement if the other party becomes insolvent, enters into liquidation, or is unable to pay its debts as they fall due.
  • Termination does not relieve either party of obligations that accrued prior to the date of termination, including payment obligations and confidentiality duties.

Governing Law & Dispute Resolution

These Terms and all agreements between Silpi Advertising and its clients are governed by and construed in accordance with the laws of India, specifically the laws applicable in the State of Kerala.

In the event of any dispute arising out of or in connection with these Terms or any booking agreement, the parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of either party providing written notice of the dispute.

If the dispute remains unresolved after the 30-day negotiation period, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Trivandrum, Kerala. The language of arbitration shall be English or Malayalam as agreed by the parties.

Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief from the courts at Trivandrum, Kerala.
